These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Danica Medicine ("we," "us," or "our") regarding your access to and use of our aesthetic medical technology platforms, clinical management tools, educational programs, and related services (collectively, the "Services"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Important: If you are using our Services on behalf of a healthcare organization or clinic, you represent and warrant that you have the authority to bind that organization to these Terms, and you agree to these Terms on behalf of that organization.

2. Definitions

For purposes of these Terms, the following definitions apply:

"Services"
refers to Danica Medicine's integrated aesthetic medical technology platforms, AI-assisted treatment planning systems, cloud-based clinic management tools, professional training programs, and any related software, applications, or websites.
"User" or "you"
means any individual or entity that accesses or uses our Services, including healthcare professionals, clinic staff, researchers, and other authorized persons.
"Content"
includes all information, data, text, software, images, audio, video, and other materials made available through our Services.
"User Content"
refers to any Content that Users submit, upload, or otherwise make available through the Services.
"Healthcare Data"
means patient health information, treatment records, clinical images, and other protected health information as defined by applicable laws.

3. Description of Services

3.1 Danica Medicine provides advanced aesthetic medical technology solutions designed for healthcare professionals and clinics. Our Services include:

  • AI-assisted treatment planning and facial analysis systems
  • Non-invasive body contouring and skin rejuvenation platforms
  • Cloud-based clinic management and practice optimization tools
  • Professional training and certification programs
  • Research collaboration and clinical study platforms

3.2 Medical Disclaimer: Our Services are designed to assist healthcare professionals in treatment planning and practice management. They are not intended to replace professional medical judgment, diagnosis, or treatment. Healthcare providers are solely responsible for all clinical decisions and patient care.

3.3 Service Availability: We strive to ensure that our Services are available 24/7, but we do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect Service availability.

3.4 Service Modifications: We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.

4. Access and Accounts

4.1 Account Registration: To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.3 Eligibility: Our Services are intended for healthcare professionals and authorized clinic staff. By creating an account, you represent that you are a qualified healthcare professional or have appropriate authorization from a healthcare organization.

4.4 Professional Credentials: You agree to provide accurate information about your professional credentials, licenses, and certifications. We reserve the right to verify this information and suspend accounts with unverified or inaccurate credentials.

Important: Sharing account credentials with unauthorized individuals is strictly prohibited and may result in immediate termination of your access to our Services.

5. Intellectual Property Rights

5.1 Our Intellectual Property: All Content, software, technology, and materials provided through our Services, including but not limited to our AI algorithms, treatment protocols, user interfaces, and documentation, are owned by Danica Medicine or our licensors and are protected by intellectual property laws.

5.2 Limited License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your professional practice. This license does not include any right to:

  • Reproduce, modify, or create derivative works of our Services
  • Distribute, sell, lease, or sublicense our Services
  • Reverse engineer, decompile, or disassemble our software
  • Remove any proprietary notices or labels

5.3 User Content License: By submitting User Content to our Services, you grant Danica Medicine a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such Content for the purpose of providing and improving our Services. For Healthcare Data, this license is limited to de-identified, aggregated data as permitted by applicable laws.

5.4 Trademarks: "Danica Medicine" and our logos are trademarks of Danica Medicine. You may not use these marks without our prior written permission.

6. Data and Privacy

6.1 Privacy Policy: Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.2 Healthcare Data: When you use our Services to process Healthcare Data, you are solely responsible for complying with all applicable health privacy laws, including HIPAA in the United States and similar regulations in other jurisdictions.

6.3 Data Security: We implement industry-standard security measures to protect data in our systems. However, you acknowledge that no security system is impenetrable, and we cannot guarantee absolute security.

6.4 Data Ownership: Healthcare Data and patient information remain the property of the healthcare provider or patient, as applicable. We do not claim ownership over Healthcare Data processed through our Services.

6.5 De-identified Data: We may use de-identified, aggregated data from our Services for research, development, and improvement of our technologies. Such data will not identify individual patients or users.

7. Limitation of Liability

7.1 No Medical Advice: Our Services provide tools and information to assist healthcare professionals but do not constitute medical advice. Healthcare providers are solely responsible for all diagnosis, treatment decisions, and patient care.

7.2 Limitation of Damages: To the maximum extent permitted by law, Danica Medicine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our Services.

7.3 Total Liability: Our total liability to you for any claims arising from these Terms or your use of our Services shall not exceed the amount you have paid to us for the Services in the twelve (12) months preceding the claim.

7.4 Indemnification: You agree to indemnify, defend, and hold harmless Danica Medicine and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

Important: Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in whole or in part.

8. Termination

8.1 Termination by You: You may stop using our Services at any time. If you have a paid subscription, you may need to follow specific cancellation procedures.

8.2 Termination by Us: We may suspend or terminate your access to our Services if you violate these Terms or if we suspect fraudulent or abusive activity. We will provide notice of such termination when feasible.

8.3 Effect of Termination: Upon termination, your right to use our Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8.4 Data Retention: Following termination, we may retain your data for a reasonable period as required by law or for legitimate business purposes. Healthcare providers are responsible for maintaining their own patient records outside of our Services.

9. Governing Law and Dispute Resolution

9.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

9.2 Dispute Resolution: Any disputes arising from these Terms or your use of our Services shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

9.3 Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class actions or representative proceedings.

9.4 International Users: Our Services are controlled and operated from the United States. If you access our Services from outside the United States, you are responsible for compliance with local laws.
